WasfaAi Legal Terms and Conditions - For Businesses

1. Nature of the Service
Wasfa is a software and digital-services ecosystem operated by Recipes for Success Information Technology Co. It provides technology, visibility, loyalty, ordering, and business tools that help merchants grow and connect with users. Wasfa enables merchants to purchase prepaid Wasfa Points for marketing and service usage within the ecosystem. Customer payments for orders or services occur directly between merchants and their own payment gateways. Wasfa does not participate in, transfer, or settle those customer payments on behalf of merchants.
2. Payment Flow
Merchants may pay Wasfa directly to purchase prepaid Wasfa Points. These payments are processed through secure, approved payment gateways and credited to the merchant's Wasfa Wallet once confirmed. For customer-facing transactions such as food orders, appointments, or bookings, payments flow directly between the customer and the merchant via the merchant's chosen gateway or processor. Wasfa's role is to enable visibility and digital management — not to handle customer funds or order settlements.
3. Wasfa Points
"Wasfa Points" are a prepaid digital marketing credit with a defined redemption value within the Wasfa ecosystem. Points represent promotional value, not cash or stored money. The typical redemption rate is 40 points = 1 SAR discount (2.5% effective user benefit). Points are non-transferable, non-refundable, and expire after periods of inactivity. Points cannot be withdrawn, sold, or converted to money. Their purpose is to support promotions, loyalty, and subscriptions within Wasfa and participating Alliance merchants.
4. Merchant Wallet Rules
- Minimum top-up: as defined by Wasfa from time to time (for example, 2,000 points = 100 SAR).
- Inactivity: if no activity is recorded for 12 months, the wallet may be frozen until the next top-up.
- Auto-recharge: merchants may enable automatic top-up with their payment gateway to avoid downtime.
- Finality: Top-ups are final and treated as the purchase of prepaid marketing credit. Refunds are not provided, except as expressly required under the mandatory laws of the Kingdom of Saudi Arabia or other jurisdictions where such requirement cannot legally be waived.
5. User Wallet Rules
End users do not buy points; they earn them through transactions with participating merchants. Earned points are redeemable only with Alliance or participating Wasfa merchants and only within the usage rules shown in the app. Points may expire after a period of inactivity (for example, 12 months); any new earning or redemption resets the expiry. Users cannot transfer, sell, or cash-out points. Wasfa may adjust earn/redeem rates, apply caps, or disable accounts in case of suspected abuse or policy violation.
6. No Settlement Obligation
Because Wasfa does not hold funds and points are defined as prepaid marketing credit, Wasfa has no settlement, reconciliation, or payout obligation toward merchants, suppliers, service providers, or users. Any settlement or collection of real money happens outside Wasfa, directly between the parties and/or via their payment gateways or financial institutions. Wasfa may provide reporting, dashboards, and AI insights, but these do not create any financial obligation on Wasfa.
7. Commissions, Hardware, and Custody
Wasfa will not charge commissions on merchant transactions conducted through the platform. Wasfa will not hold merchant funds or sell mandatory hardware as a precondition for use. Monetization is primarily through prepaid points, paid add-ons, visibility or promotion features, and AI or data tools.
8. Disputes About Payments
If a payment fails, is declined, or is disputed, the concerned party must resolve the matter directly with the payment gateway or financial institution that processed the payment. Wasfa may provide logs or supporting data to help the parties, but Wasfa is not a party to the payment transaction and is not liable for gateway errors, chargebacks, or bank declines.
8A. Orders, Payments, and Deliveries (Third-Party Transactions Disclaimer)
Wasfa provides digital tools that connect users, merchants, suppliers, and service providers but does not handle, process, or guarantee any commercial transactions between them. All orders, deliveries, payments, and refunds are the sole responsibility of the respective merchant, customer, or third-party provider (such as delivery partners or payment gateways). Wasfa is not liable for incorrect, delayed, or canceled orders, product quality or delivery issues, payment disputes, or system errors caused by third-party services. By using Wasfa, all parties agree that Wasfa's role is limited to providing the digital platform and interface that enables visibility and connection — not acting as a seller, buyer, courier, or payment intermediary.
9A. Integrity, Misrepresentation, and Revocation of Access
To maintain a trusted and secure ecosystem, WASFA reserves the right—at its sole discretion—to limit, suspend, freeze, or permanently deactivate any user account, merchant profile, supplier or service-provider account, or registered company if any of the following occur:
- Providing false, misleading, or incomplete information during registration or business setup.
- Misrepresenting ownership, licensing, qualifications, or legal status.
- Fraudulent activity, manipulation of points, transactions, or attempts to bypass Wasfa rules.
- Harassment, threats, abusive behavior, or conduct that harms the platform or its users.
- Violations of applicable laws or these Terms and Conditions.
- Security risks, unauthorized access, impersonation, or attempts to breach system integrity.
WASFA may take such action with or without prior notice depending on the severity of the violation. Clarification or corrective action may be requested before reactivation.
9. Scope of These Terms
These Terms represent the official WasfaAi Legal Terms and Conditions governing all users and business participants using Wasfa services. They form the baseline agreement between Wasfa and its users, covering wallets, payments, and platform usage in accordance with applicable laws.
